This course offers a comprehensive introduction to the fundamental business laws that regulate commercial activities and corporate governance in India. It covers the essentials of the Indian Contract Act, including agreements, valid contracts, offer and acceptance, consideration, performance, breach, and remedies. Students will also learn the key provisions of the Sale of Goods Act, 1930, and the Consumer Protection Act. In addition, the course introduces the core concepts of Intellectual Property Rights, such as trademarks, patents, copyrights, trade secrets, and geographical indications. The course further explains the legal framework governing company management, focusing on the appointment, duties, and liabilities of directors, corporate governance practices, CSR, and statutory requirements related to various types of meetings. It concludes with an overview of winding-up procedures, including modes of winding up, tribunal processes, voluntary and compulsory liquidation, and an introduction to the Insolvency and Bankruptcy Code, 2016. By integrating theory with practical implications, the course equips learners with essential legal knowledge needed for responsible business decision-making and compliance.
